Biography

Jill (Linyan) Sheng focuses on mergers & acquisitions, private equity, venture capital, and capital markets transactions. She has extensive experience advising corporations and investment funds on complex cross-border M&A, joint ventures, spin-offs, going private transactions and restructuring matters.

With a deep understanding of corporate and securities law, Jill has advised clients across diverse industries, including healthcare, technology, fintech, telecommunications, consumers, transportation, energy, financial services, and real estate. She is particularly skilled in structuring and negotiating pre-IPO financings, strategic transactions and employee incentive plans.

Before joining the firm, Jill was Of Counsel at another law firm in Shanghai and began her legal career in the APAC headquarters of a Fortune 500 company. She has advised leading Chinese companies in high-profile overseas acquisitions and international private equity firms in significant investments across Greater China and Asia. Known for her strategic insight and commercially driven legal advice, Jill helps clients navigate complex cross-border deals with precision and efficiency.

  • Advised Yunfeng Capital and the buyer consortium as their US legal counsel in iKang Healthcare Group, Inc. (Nasdaq: KANG)’s USD 1.5 billion going-private transaction.
  • Advised major shareholder PW MEDTECH (1358. HK) and the buyer consortium as their US legal counsel in China Biologic Products Holdings, Inc. (Nasdaq: CBPO)’s USD 4.76 billion going-private transaction.
  • Advised Founder and management team as their US legal counsel in Cellular Biomedicine Group, Inc. (Nasdaq: CBMG, 西比曼科技)'s USD 383 million going private transaction.
  • Advised Orient Hontai Capital in the purchase of controlling interests in an American mobile technology company for over USD 1 billion.
  • Advised Chinese national oil company CNPC in the purchase of all of Petrobras’s Peruvian oil and gas assets for USD 2.6 billion.
  • Advised a major international oil and gas flow control manufacturing and servicing company in forming a joint venture with a major Chinese state-owned company. The joint venture marks an important step of the foreign company's participation in supplying to China's latest 7364KM-long west-east pipeline.
  • Advised Boyu Capital on its multiple private equity growth investments in a broad range of portfolios based in China and South-East Asia, e.g., Zeeker.
  • Advised HongShan Capital on its multiple private equity growth investments in a broad range of portfolios across diverse industries including consumer products, TMT, biopharma, e.g., Pop Mart.
  • Advised leading private equity firms and investment team of large corporations including Silverlake, Warburg Pincus, Prosperity 7, HBM Partners, 6 Dimensions Capital, AstraZeneca-CICC and WuXi AppTec, on various investments, exit and restructuring projects.
  • Advised multiple companies in multiple rounds of financing, with investors including leading USD and RMB investment funds from both domestic and international markets, such as Medbanks (0314.HK), Gushentang (02273.HK), D3 Bio, and FJ Dynamics.
