Biography
Lei Ye has considerable years of experience advising on corporate and transactional matters, with a particular focus on foreign direct investment, domestic and cross-border mergers and acquisitions, Sino-foreign joint ventures, commercial collaborations, and corporate and commercial matters relating to investment in China. He advises clients across a wide range of sectors, including healthcare and life sciences, TMT, high tech and high-end manufacturing, and new energy.
Representative Legal Matters
- Advised Barentz Group on the acquisition of 100% equity in Fengli Group, a Chinese distributor of APIs and pharmaceutical excipients.
- Advised Baxter on the global spin-off of kidney care business and establishment of Vantive.
- Advised GlaxoSmithKline on commercial collaboration for co-promotion and distribution of certain vaccine products in China with Zhifei Biological, a Chinese distributor.
- Advised Sino Biopharm / CTTQ on a licensing agreement with Sanofi.
- Advised Sandoz AG on its sale of 100% equity interest in its China subsidiary Sandoz (China) Pharmaceutical Co., Ltd. (Sandoz China) to Aspen Global Incorporated.
- Advised ICU Medical Group on its sale of 100% equity interest in a manufacturing site in China to MDK Medical Technology Co., Ltd., a Chinese medical device manufacturer.
- Advised METRO AG on the sale of METRO China and the establishment of a strategic partnership with Wumei Technology Group (Wumei).
- Advised Unilever Prestige on its e-commerce related joint venture with Hangzhou Golong Holding Co., Ltd. for the distribution of certain Prestige brands products in Mainland China, Hong Kong and Macau.
- Advised a US-listed chemical company on several acquisitions and Sino-foreign joint ventures matters in China.
- Advised a Europe-headquartered esports company on the merger with Chinese esports companies and restructuring of group structure post-merger for offshore listing purpose.
